A letter from the founders
Three years ago we watched a company die with a signed term sheet in hand. Every investor had said yes. The wires took eleven weeks. Payroll didn't.
Nobody acted in bad faith — the machinery lost the company. Allocations in spreadsheets, commitments in inboxes, settlement in a banking system that treats a venture round like a mortgage application. Raise Rail is what we built instead: a round is one operating record, commitments are USDC in escrow no single party controls, and capital releases against evidence, tranche by tranche.
It works. $412M committed across 126 rounds in the last year, nine days median to first close, and not one dollar released without the approval its schedule required. Our own Series B closed on Raise Rail — the funds backing us committed, voted and settled on the product they were funding.
This $100M goes three places: settlement infrastructure for regulated markets, with the licensing that work deserves; milestone escrow for instruments beyond equity — venture debt, revenue-based financing, fund commitments; and an engineering team that treats every dollar path as a correctness proof.
